Hiring a CEO Is Also a Governance Decision
Je
When a company appoints a new CEO, most attention naturally goes to the candidate.
Experience. Track record. Personality. Strategic vision.
But CEO appointments are not only people decisions.
They are governance decisions.
Because every CEO operates within a system of shareholders, Boards, management teams and decision rights.
And even an exceptional executive can fail in a badly designed system.
What exactly is the mandate?
A Board may say it wants transformation while expecting the new CEO to preserve everything that exists.
Shareholders may ask for entrepreneurship while keeping tight control over every important decision.
A CEO may be told to professionalise the organisation while discovering that informal structures cannot be challenged.
These contradictions are often invisible during the recruitment process.
Until they are not.
A strong CEO search should therefore explore the environment around the role as seriously as the role itself.
What freedom will this person genuinely have?
What decisions belong to the Board?
How aligned are the shareholders?
What relationship is expected between CEO and Chair?
Where does the existing management team need strengthening?
Alignment before appointment
Executive Search cannot solve governance problems by itself.
But a good process can expose them early.
That is valuable.
It allows owners and Boards to discuss expectations before presenting them to candidates.
It also creates a more honest conversation with senior executives, who are usually evaluating the organisation as carefully as the organisation is evaluating them.
At CEO level, this matters enormously.
Strong candidates are rarely only asking whether they can do the job.
They are asking whether the context will allow them to do it well.
The appointment is only the beginning
Selecting the CEO is a major milestone.
Creating the conditions for success starts afterwards.
Clear governance, structured onboarding, Board alignment and regular dialogue during the first year can make the difference between a successful transition and an unnecessarily difficult one.
A CEO appointment should therefore be approached as organisational design, not simply recruitment.
